In accordance with relevant Chinese laws, decrees and pertinent rules and regulations ,Party A and Party B have reached an agreement through friendly consultation to conclude the following contract.
一、 物业地址 Location of the premises
Party A will lease to Party B the premises and attached facilities all owned by Party A itself, which is located at __________________________________________________________ and in good condition for_____________ .
二、 房屋面积 Size of the premises
The registered size of the leased premises is_________square meters (Gross size).
三、 租赁期限 Lease term

四、 租金 Rental

In case the rental is more than ten working days overdue, Party B will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, Party B will be deemed to have with drawn from the premises and breach the contract. In this situation, Party A has the right to take back the premises and take actions against party B's breach.
五、 保证金 Deposit
1. 为确保房屋及其附属设施之安全与完好，及租赁期内相关费用之如期结算，乙方同意于______年_____月_____日前支付给甲方保证金人民币 _________元整，甲方在收到保证金后予以书面签收。
Guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party B will pay _________to party A as a deposit before _____(month) _____(day) _______(year). Party A will issue a written receipt after receiving the deposit.
Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.
In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit . In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.
六、 甲方义务 Obligations of Party A
Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.
In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.
Party A will guarantee the lease right of the premises. Otherwise, Party A will be responsible to compensate Party B's losses.
七、 乙方义务 Obligations of Party B
Party B will pay the rental, the deposit and other expenses on time.
Party B may decorate the premises and add new facilities with Party A's approval. When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
Party B will not transfer the lease of the premises or sublet it without Party A's approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it.
Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.
八、 合同终止及解除的规定 Termination and dissolution of the contract
Within two months before the contract expires, Party B will notify Party A if it intends to extend the leasehold. In this situation, two parties will discuss matters over the extension.
When the lease term expires, Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A's previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party's agreement. Anything not covered in this contract will be discussed separately by both parties.
九、 违约及处理 Breach of the contract
During the lease term, any party who fails to fulfill any article of this contract without the other party's understanding will be deemed to breach the contract. Both parties agree that the default fine will be________________. In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.

Shanghai Municipality Tenancy Agreement for Premises
The parties to this Agreement are:

According to provisions of the “Contract Law of People’s Republic of China” and “Shanghai Municipality Leasing Regulation”(hereinafter refer to as “The Regulation”), and upon the basis of voluntaries, equality and mutual benefits, Party A and Party B have reached a consensus to enter into this Agreement in respect of the lease of Apartment.
Article One: General information of the Premises
1-1. 甲方出租给乙方的房屋座落在本市 区 路 弄 号 室（以下简称该房屋）。该房屋出租实测建筑面积为 平方米，房屋类型为 、结构为 。该房屋的宗地图见本合同附件(一)。甲方已向乙方出示：
1-1 Party A shall lease to Party B the property located in Rm ,Building ,Lane , road , Area (hereinafter referred to as the “Property”), with a construction area of _277.97 square meters (actual calculation for leasing). The building is for residential use and the apartment is newly-built commodity complex with concrete structure. The ground plan of the apartment is in Appendix One of this Agreement. Party A has already presented to Party B:

1-2. 甲方作为该房屋的 与乙方建立租赁关系。签订本合同前，甲方已告知乙方该房屋 （已/未）设定抵押。
1-2 Party A, as the property owner of the building, enters into this Agreement with Party B. Prior to the signing of this Agreement, Party A has made it known to Party B that the Premise is (is/is not) under mortgage.
1-3 The use, condition and requirements of the common areas of the Premise, the existing fit-out and the current state of additional facilities, alterations of the Premises furnishing and additional facilities by Party B, are all listed in details by both Party A and Party B in Appendix Two and Appendix Three of this Agreement. Appendix shall form the basis of the acceptance inspection, taking place when Party A hands over the Premises to Party B and when Party B, upon the expiration of the lease term of this Agreement, returns the Premises.
Article Two: Purposes of Leasing
2-1．乙方向甲方承诺，租赁该房屋作为 办公 使用，并遵守国家和本市有关房屋使用和物业管理的规定。
2-1 Party B undertakes, as represented to Party A, that the lease of said premises shall only be for the purpose of office . Party B shall abide by relevant state and municipality regulations.
2-2 Party B shall not unilaterally change the use of said Premises during the term of the lease, unless it received Party A’s prior written consent and obtained the approval of the relevant authorities in accordance with regulations.
Article Three: Date of Turning Over and Term of Lease

3-2 Party A shall have the right to recover all leased Premises upon the expiry of the lease term, and Party B shall return the Premises on time. If Party B wishes to renew the lease, a written intent must be made to Party A two months prior to the expiration of the lease term; subject to Party A’s consent, a renewal contract shall be executed.
Article Four: Rent and Method of Payment and Deadline

Article Five: Deposit and Other Fees
5-1. 甲、乙双方约定，甲方交付该房屋时，乙方应向甲方支付房屋租赁保证金，保证金为 个月的租金，人民币 元(大写: 元整) 。甲方收取保证金后应向乙方开具收款凭证。租赁关系终止时,甲方收取的房屋租赁保证金除用以抵充合同约定的由乙方承担的费用外,剩余部分在一周内无息归还乙方。
5-1 Party A and Party B agree that upon signing this Agreement, Party B shall pay Party A an amount equal to the sum of _ months’ rent, totaling RMB(currency)_ (amount), as the earnest money for Party B’s performance of this Agreement. Party A shall issue a receipt to Party B upon receiving the deposit. Upon the expiry of the lease term, the deposit can be used to pay other fees borne of Party B. 5-2. 租赁期间，使用该房屋所发生的通讯费用由 乙方承担。其他相关费用，均由甲方承担。
5-2 The expenses in respect of communication fee shall be borne by Party B. Other related fees shall be borne by Party A .
Article Six: Premises Standard and Obligations of Repair
6-1. 租赁期间，乙方发现该房屋及其附属设施有损坏或故障时，应及时通知甲方修复；甲方应在接到乙方通知后的 3 日内进行维修。逾期不维修的，乙方可代为维修，费用由甲方承担。
6-1 Party B shall timely inform Party A of any damage or malfunction of the Premises and its accessory facilities. Party A should carry out the repair within _3_ days of receiving the notification from Party B. Should it fail to do so, Party B has the right to carry out the repair on Party A’s expense.
6-2 Party B shall take good care of the Premises and the facilities therein and use them in a reasonable manner. In the event of damage to the Premises or the facilities due to Party B’s improper use, Party B shall promptly repair any damage or compensate. Should Party B refuse to repair, Party A can repair on Party B’s expense.
6-3. 租赁期间，甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房屋进行检查、养护，应提前 3 日通知乙方。检查养护时，乙方应予以配合。甲方应减少对乙方使用该房屋的影响。
6-3 Party A shall guarantee the safety for the use of the said Premises during the term of the lease. Party A shall give _3_ day(s) prior written notice to Party B before carrying out repairs on the Premises and its accessory facilities, and Party B shall actively lend its assistance and co-operation. Party A shall do his best to reduce the influence on Party B’s use.
6-4 Party B shall obtain the prior written consent from Party A for any refurbishing in the Premises or alteration of the original facilities required by Party B in addition to the existing furnishing and facilities. The relevant procedures must be properly carried out after Party A has got the appropriate approval from relevant authorities. The ownership and maintenance of the additionally installed facilities and equipment shall be separately agreed upon by both Parties.
Article Seven: The Condition of the Premises upon Handing Over
7-1. 除甲方同意乙方续租外，乙方应在本合同的租期届满后的 2 日内返还该房屋，未经甲方同意，逾期返还房屋的，每逾期一日，乙方应按日租金的双倍（日租金为月租金x12/365）向甲方支付该房屋占用期间的使用费。
7-1 Party B shall hand over the Premises back to Party A within _2 days after the termination of lease term, unless Party A has agreed upon a renewal contract. Should Party B fail to hand back the Premises in time, it is subject to pay a daily penalty of _two times of daily rent(Daily rent = monthly rent x 12 / 365) to Party A.
7-2 Party B shall hand over the Premises in its proper state. Upon the handing over, Party A shall inspect the house and relevant charges borne by either Parties shall be duly paid.
Article Eight: Sub-lease, Assignment and Transfer of the Premises
8-1 Party B must obtain Party A’s prior written consent before it sublets any part or all of the leased premises to a third party within the term of the lease, unless Party A and Party B have agreed otherwise in the Supplementary Provisions. However, Party B shall not sublet the same room in part.
8-2 Party B shall enter into a written sub-leasing contract with a third party for the sub-leasing of the Premises. The contract shall be duly registered and filed in accordance with all relevant regulation.
Article Nine: Termination of this Agreement
9-1 Party A and Party B agree that during the lease term, should any of the following events occurs, this Agreement is terminated and neither Parties need to compensate the other Party.
One: The using right of the land occupied by the Premises is legally early taken back by the government.
Two: The Premises is to be legally taken over by government for use of public benefits and urban infrastructure.
Three: The Premises is to be demolished for reasons of urban construction.
Four: The Premises is damaged and partly destroyed or is deemed as unsafe for residential use.
Five: Party A notifies Party B that the house is under mortgage and is currently under disposal.
9-2. 甲、乙双方同意，有下列情形之一的，一方可书面通知另一方解除本合同。违反合同的一方，应向另一方按月租金的 双 倍支付违约金；给对方造成损失的，支付的违约金不足抵付一方损失的还应赔偿造成的损失与违约金的差额部分：
9-2 Both Parties agree that if any of the following events occurs, one Party can terminate the Agreement with a written notification to the other Party. A compensation which equals _two times the monthly rent shall be paid by the Party that breaches the Agreement to the other Party. If the penalty is insufficient to set off the loss, the Party that breaches the Agreement is to compensate the shortfall to the other Party.
（一）甲方未按时交付该房屋，经乙方催告 7 日内仍未交付的；
One: Party A fails to hand over the Premises in due time and still fails to do so within _7_ days after Party B’s notification.
(二) 甲方交付的该房屋不符合本合同的约定, 致使不能实现租赁目的的；或甲方交付的房屋存在缺陷, 危及乙方安全的；
Two: The Premises that Party A hands over is not in accordance with the provisions in this Agreement and therefore poses an interruption of the normal operation of the Premises.
(三) 乙方未征得甲方书面同意改变房屋用途, 致使房屋损坏的;
Three: Party B changes the use of the Premises without prior written consent from Party A and therefore destroys the Premises.
Four: The main structure of the Premises is destroyed due to Party B.
Five: Party B sub-let, transfers or exchanges the Premises to or with other without the written consent of Party A.
(六) 乙方逾期不支付租金累计超过 30 日的；
Six: Party B is more than _30 days in arrears of the rent.
Article Ten: Liability for Breach of Contract
10-1. 该房屋交付时存在缺陷的, 甲方应自交付之日起的 7 日内进行修复, 逾期不修复的, 甲方同意减少租金并变更有关租金条款。
10-1 Any defects of the apartment upon its handing over should be remedied by Party A within _7_ days. Should it fail to do so, Party A agrees to deduct the rent and change certain rent-related provisions of this Agreement.
10-2. 因甲方未告知乙方, 该房屋出租前已抵押或产权转移已受到限制,造成乙方损失的, 甲方应负责赔偿。
10-2 Party A fails to notify Party B in this Agreement that the Premises is under mortgage and the change of ownership is under limitation. Party A has to compensate Party B for all its losses.
10-3. 租赁期间, 甲方不及时履行本合同约定的维修、养护责任, 致使房屋损坏, 造成乙方财产损失或人身伤害的, 甲方应承担赔偿责任。
10-4.租赁期间, 非本合同规定的情况, 甲方擅自解除本合同, 提前收回该房屋的, 甲方应按月租金的 双 倍向乙方支付违约金。 若违约金不足抵付乙方损失的， 甲方应负责赔偿。
10-5. 乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者增设附属设备的， 甲方可以要求乙方恢复房屋原状。
10-5 Party B refurbishes the apartment or add to its facilities without the written consent of Party A or does so more than Party A’s requirement, Party A has the right to ask Party B to restore the house to its original.
10-6 During the term of the lease, in the event that Party B pays the rent late or insufficiently according to article 4.2, Party B should pay late fee, which should be 3‰ of the expected rent per day, The days in arrears begin from the next day of the deadline till the day practically paid.
10-7 租赁期间，非本合同规定的情况，乙方中途擅自退租的，乙方应按月租金的 双 倍向甲方支付违约金。 若违约金不足抵付甲方损失的，乙方还应负责赔偿。 甲方可从租赁保证金中抵扣。 保证金不足抵扣的， 不足部分则由乙方另行交付。
10-7. In the event that Party B terminates this Agreement without prior consent of Party A during the lease term, it shall pay a fine equivalent to _two_ times the monthly rent. If the said rent is insufficient to set off the losses suffered by Party A, Party B shall compensate Party A for the shortfall.
Article Eleven: Other Provisions
11-1. 租赁期间，甲方需抵押该房屋，应当书面告知乙方，并向乙方承诺该房屋抵押后当事人协议以折价、变卖方式处分该房屋前 7 日书面征询乙方购买该房屋的意见。
11-1 Party A shall notify Party B in written form 7 days if it wishes to sell-off the house or covert it into money during the lease term and it should inquire Party B’s intention of buying the Premises.
11-2 This Agreement shall come into effects upon its signing. Party A shall be responsible for registering this Agreement within fifteen (15) days after its execution with the Shanghai Municipal/district (county) Real Estate Exchange Authorities on behalf of the Parties. Party A shall be responsible to carry out, on behalf of the Parties, the procedures for the registration of any amendment to or termination of this Agreement with the original registration authorities within fifteen (15) days following the amendment or termination of this Agreement. Should Party A fail to do so, it is to bear all legal responsibilities.
11-3. 本合同未尽事宜，经甲、乙双方协商一致，可订立补充条款。 本合同补充条款及附件均为本合同不可分割的一部分，本合同及其补充条款和附件内空格部分填写的文字与铅印文字具有同等效力。
11-3 Matters not covered in this Agreement may be set forth in Supplementary Provisions subject to a consensus reached between Party A and Party B following consultations. The Supplementary Provisions and annexes of this Agreement form an inseparable part of this Agreement. The text written into the blank spaces of this Agreement and its Supplementary Provisions and Annexes and the printed text shall be equally authentic.
11-4 Both Parties, upon signing this Agreement, clearly understand each one’s rights, obligations and responsibilities, and are willing to perform strictly in accordance with provisions of the Agreement. If a Party breaches this Agreement, the other Party shall have the right to claim compensation in accordance with the provisions of this Agreement.
11-5. 甲、乙双方在履行本合同过程中发生争议，应通过协商解决，协商解决不成的，双方同意选择下列第 二 种方式解决：
11-5 Disputes arising between the Parties in the course of performing this Agreement shall be resolved through consultations. Where the negotiations fails to resolve the dispute, one of the following methods shall be used as agreed in this Agreement: 2 .
(1) Apply for arbitration at Arbitration Commission
(2) Issue legal proceeding in People’s Court
11-6. 本合同连同附件一式 三 份。其中：甲、乙双方各执一份，上海市/ 区房地产交易中心或农场受理处一份，均具有同等效力。
11-6 There shall be three (3) original copies of this Agreement and the Supplementary Provisions. Party A and Party B shall each hold one copy; the Shanghai Municipality/ District
11.7 This Contract is written in both Chinese and English. In case there is any inconsistency arising between the Chinese part and the English part, the Chinese shall prevail.

1. Premises for Lease

2. Lease Term

3.1 乙方须向甲方缴纳租金, 租金为人民币[ ]元整/月, 含物业管理费、供暖费, 但不含发票税费、水费、电费、煤气费、市话费、电话及宽带开通费、卫星电视开通和收视费、宽带网络使用费、以及供乙方使用的其他专门设施的使用费。
3.2 Payment method: Party B shall pre-pay the □monthly /□quarterly /□half-yearly /□yearly rental in Renminbi to the Renminbi account designated by Party A. The first installment of rent shall be paid upon the date on which this Contract is signed by the parties, and the due date for subsequent installments of the rent shall be postponed accordingly on a □monthly /□quarterly /□half-yearly /□yearly basis, provided that Party B shall pay the rent [ ] days prior to the due date for each installment of rent. If Party B is not able to pay the rent on time due to business trip or other reasons, it shall notify Party A in advance and the payment of rent may be postponed for five working days from the due date for such installment of rent, failing which Party B shall pay Party A a penalty equal to 5‰ of the outstanding rent per day of delay. If the late payment exceeds fifteen days, Party A is entitled to terminate this Contract.
3.3 付款方式：乙方应按 □月/□季/□半年/□年 预先以人民币交付租金至甲方指定的人民币帐户。首期租金在双方签署本合同时交付，以后每期租金到期日按□月/□季/□半年/□年顺延，但乙方应在每期租金到期日[ ]日前交付租金。如果乙方因出差或其他原因不能及时交付租金,乙方应提前通知甲方,此租金交付可从当期租金到期日起推后五个工作日。否则乙方应向甲方交滞纳金。每延迟一天，乙方支付甲方滞纳金为当期应付租金的5‰，若逾期十五天，甲方有权终止合同。
4.1 The parties agree upon execution of this Contract that, Party B shall pay to Party A a deposit equivalent to one months rent (totaling RMB [ ]) before [ ] as the deposit for Party B’s good faith performance of all terms and conditions of this Contract (hereinafter referred to as the “Deposit”). Party A shall issue receipt for such payment to Party B after deposit receiving.
4.1 双方在签署本合同时同意，乙方在 年 月 日前将相当于一个月租金总计人民币[ ]元整的租赁保证金支付给甲方，作为乙方忠实履行本合同各项条款规定和条件的保证金。以下简称“保证金”。甲方须在收到此款项后，向乙方提供收据。
4.2 If Party B breaches any terms and conditions hereunder (including but not limited to provisions regarding rental payment) and consequently causes actual loss to Party A (except for normal wear and tear of decoration, of furniture and of electronic applicances), Party B shall compensate for such loss. During the term of this Contract, Party B has no right to deduct rental and other fees payable under this Contract from the Deposit, and has no right to transfer the Deposit to a third party or to use the Deposit as security for debts.
4.3 Party A shall refund the Deposit without interests within five days provided that Party B has fully performed the terms and conditions of this Contract and has handed over the Premises and paid all outstanding fees.
1. Late Payment Interests
If Party B fails to pay the Deposit or other fees payable under this Contract, or Party A has paid for Party B such other fees payable by Party, Party B shall pay late payment interests for the period of late payment at the rate of 0.5‰ of the outstanding amount per day.
1. Damage and Repair
6.1 Party A shall ensure that the construction structure and the equipment and facility of the Premises conform to the safety conditions concerning construction, fire prevention and others, and the Premises has not any danger to the personal safety. Party B shall ensure that the relevant laws and regulations of national or Beijing government shall be observed during use of the Premises.
6.2 During the Term, both parties shall ensure that the Premises and its contents, equipment and facilities are in usable and safe condition:
1. Rights and Obligations of Party A
7.1 Party A hereby guarantees that Party A is the legal owner and has the right to lawfully lease the Premises. Otherwise, Party A shall bear the legal liability arising therefrom in full.
7.2 Party A hereby guarantees that the Premises is housing that has been developed, constructed and completed legally. The Premises has not been sold on the signature date of this Contract, and it does not exist other legal impediments which may affect the performance of this Contract.
7.3Party A hereby guarantees that Party B shall have the right to occupy and enjoy the Premises peacefully throughout the Term without any interruption by Party A or its agents, provided that Party B has paid the rent and other fees hereunder and complies with the terms and conditions to be performed by Party B under this Contract.
7.4 Party A has the right to terminate this Contract unilaterally upon occurrence of any of the following to Party B:
7.4 乙方出现下列任何情况时, 甲方有权单方解除本合同。
7.4.1 违反中华人民共和国的法律/法规, 利用该单元进行不法经营活动；
7.5 Party B agrees to waive its right of first refusal in respect of the Premises voluntarily and unconditionally during the Term. During the Term, Party A shall be free to transfer the Premises to any third party, provided that such transfer shall not prejudice Party B’s rights to occupy, control and use the Premises in accordance with the terms and conditions of this Contract. If Party A transfers the Premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of Party A under this Contract. Party B undertakes to cooperate in full with Party A in handling the relevant formalities to sell and hand-over of the Premises. Party B’s failure to cooperate for the hand-over shall not affect the assumption of the rights and obligations of this Contract by the new owner. Party B shall pay rent to the new owner in accordance with this Contract after receipt of Party A’s notice, otherwise Party B shall bear the liability for breach of contract and late payment under this Contract.
1. Rights and Obligations of Party B
8.1 Party B is entitled to occupy and use the Premises reasonably and legally during the Term provided that it strictly complies with the terms and conditions of this Contract.
8.1 如果乙方严格遵守本合同的各项条款, 则乙方有权在租赁期内合理、合法占用和使用该单元。
8.2 Party B shall pay rent and the expenses of electricity, water, gas, telephone, ID long distance call incurred at the Premises and the service fee of other specific facilities provided for Party B on time (other than the written agreement between the parties).
8.4 Party B shall keep the internal part of the Premises in clean and good condition and shall prevent damage, pollution and fire, etc. It shall have the duty to supervise his visitors and friends to protect the property of Party A or the public facility of this compound. If there is any damage caused to Party A, other owners or lessees of this compound or the public facility of compound due to Party B’s reason, Party B shall compensate for the losses arising therefrom.
1. Termination of Contract
9.1 Upon occurrence of any of the event prescribed under Article 8.4, Party A is entitled to unilaterally terminate this Contract without the need to issue any notice requesting for rectification of the breach.
9.2 The parties may terminate this Contract early by reaching a written agreement through consultation.
9.3 If either party cannot perform this Contract due to the occurrence of any force majeure events (such as earthquake, storm, hail and fire) which cannot be predicted or the occurrence and consequence of which cannot be avoided, the party who experience the force majeure event will be exempted from liability for failure to perform relevant obligations of this Contract (save for payment obligations).
1. Penalty for Breach
10.1 Any party who breaches this Contract shall compensate for any economic loss caused to the other party due to the breach. If the economic loss is due to default of both parties, both parties shall bear respective liability for breach in accordance with the circumstance.
10.2 If Party B fails to perform the provisions of Article 9.1 hereof, or Party B fails to perform other provisions of this Contract and fails to rectify the breach after 14 days of receiving Party A’s written notice requesting for rectification of the breach, Party A has the right to terminate this Contract unilaterally. This Contract shall be automatically terminated from the date on which the termination notice is delivered. Upon termination of this Contract, the Deposit shall not be refunded to Party B and Party A shall have the right to claim for further losses or outstanding fees (if any), and Party B shall vacate and return the Premises to Party A within three days from the date of delivery of the termination notice.
1. Renewal of Lease
Where Party B has fully performed the terms, provisions and regulations of this Contract during the term of this Contract, Party B has the priority right to extend the Term under this Contract provided that it has given written application for extension no later than 30 days before expiry of the Term and that the parties have agreed on the conditions of the extension (including rent and term of lease) and executed the contract for the extension of the lease by no later than 15 days prior to the expiration of the Term, failing which, Party A may lease the Premises to others. Party A may show the Premises to potential tenants by giving reasonable notice to Party B within 30 days prior to the expiration of the Term and Party B shall use its best efforts to cooperate with Party A.
1. Early Termination
The parties shall not terminate this Contract except for any legal reason such as force majeure under Article 9.3. After the commencing date of the Term under this Contract, if Party A terminates this Contract unilaterally, Party A shall return the [ double ] amount of the Deposit in accordance with Article 4.1. If Party B wishes to terminate this Contract early, Party A will hold the [ total ]Deposit and this Contract shall be automatically terminated.
双方除9.3款不可抗力等法定理由外，不得提前解约。本合同所定租期开始后，若甲方单方终止本合同，则甲方需向乙方[ 双倍 ]的返还其根据第 4.1条的规定收取的保证金；如乙方要求提前解约，甲方扣留乙方已付保证金的[ 全部 ]，则本合同自动终止。
Any notices sent by one party to the other party under this Contract shall be made in Chinese and shall be delivered by hand, by registered air-mail (with postage pre-paid), express delivery service commonly recognized or by fax to the address stipulated in this Contract. A notice shall be deemed to have been delivered:
1) if sent by hand, on the date on which the documents is delivered to the designated address;
2) if sent by registered air-mail, on the tenth (10th) day after the notice is mailed (as evidence by stamp chop);
3) if sent by express delivery, on the fifth (5th) day after the notice is sent by express delivery service commonly recognized;
4) if sent by fax, on the first (1st) working day after the notice is sent.
1. Dispute Resolution
14.1 The formation, validity, interpretation, performance and dispute settlement of this Contract shall be governed by the laws of PRC.
14.2 The parties shall try their best efforts to settle any dispute under this Contract through friendly consultation or mediation, failing which, either party may submit the dispute to Beijing Arbitration Committee for arbitration.
14.2 甲、乙双方就本合同发生争议时, 应尽量通过友好协商方式或通过调解解决。若经协商或调解不能达成一致协议时, 任何一方均可在北京仲裁委员会提出仲裁。
2. 附 则
16.1The Contract is written in both English and Chinese. It shall be signed in duplicates, with each party holding one with the same legal validity.
16.2 The Chinese language version shall prevail in case of any discrepancy between the Chinese language version and the English language version.
16.3 This Contract shall become effective upon the signature and affix of the chop of both parties.

Party A and B have reached an agreement through friendly consultation to conclude the following contract.
1. Location of the premises
Party A will lease to Party B the premises and attached facilities owned by itself which is located at

3) In case the rental is more than 7 working days overdue, Party B will pay 0.3 percent of monthly rental as overdue fine every day, if the rental be paid 10 days overdue, Party B will be deemed to have with drawn from the premises and breach the contract. In this situation, Party A has the right to take back the premises and take actions against party B’s breach.
1) Guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party B will pay to party A as a deposit before

2) Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.
3) In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit . In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.
4) If Party B can’t normally use the apartment because of Party A , Party A should return the deposit to Party B at once. And, Party B has the right to ask for the compensation from Party A
6. Obligations of Party A
1) Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.
2) In case the premise and attached facilities are damaged by quality problems, natural damages or accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.
3) Party A will guarantee the lease right of the premises. In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, .party A shall quarantce that the new owner, and other associated ,third parties shall be bound by the terms of this contract. Otherwise, Party A will be responsible to compensate party B’s losses.
4) Party A must register this contract with the relevant government authority If not doing so resulting that this contract is invalid or Party B’s right of leasing may be damaged , Party A should take the all responsibilities. Party A should also bear the all the relevant taxes.
7. Obligations of Party B
1) Party B will pay the rental and the deposit on time.
2) Party B may add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.
3) Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4) Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it
5) Party B will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.
8. Termination and dissolution of the contract
1) Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension.Under the same terms Party B has the priority to lease the premises.
2) When the lease term expires, Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
3) This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party’s agreement. Anything not covered in this contract will be discussed separately by both parties.
9. Breach of the contract
1) During the lease term, any party who fails to fulfill any article of this contract without the other party’s understanding will be deemed to breach the contract. Both parties agree that the default fine will be . In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
2) Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.
